Terms of Service

These Terms of Service ("Terms") are an agreement between you and Goodwin Company, which operates DineUp ("DineUp," "we," "us," or "our"). They apply when you visit https://dineup.com, use app.dineup.com, open an order, flight or tracking link we send you, or otherwise use our services (the "Services"). By using the Services you agree to these Terms and to our Privacy Policy. If you do not agree, please do not use the Services.

Our Services

DineUp arranges catered meals from restaurants for private flights and delivers them to the address given for each flight. Flights and orders may be opened by an aircraft operator or broker, by DineUp staff, or through our integrations, and are completed by the flight's coordinator and flyers from the links we provide. Restaurants prepare the food; DineUp and its delivery partners coordinate the order and the delivery.

Links and Access

Many pages are reached through private links rather than a password. Anyone holding a coordinator, order or tracking link can see, and in some cases change, the flight or order it belongs to. Keep your links private and share them only with people you trust. Tell us at [email protected] if you believe a link has been shared by mistake, and we can replace it.

You agree to give accurate, current information, including names, contact details, flight times and delivery addresses, and to keep it up to date.

Orders, Prices and Payment

Menus, prices, fees and availability are set by the restaurants and by DineUp, and may change before an order is confirmed. An order is confirmed when we tell you it is. Payment may be collected by DineUp through our payment providers or invoiced through the operator or broker that arranged the flight. Payment details are handled by our payment providers and are subject to their terms.

Changes and cancellations depend on how close the flight is to departure and how far the restaurant has prepared the order. Contact us as early as possible. Fees for orders already prepared or delivered may not be refundable.

Allergies and Dietary Restrictions

We pass the allergies and dietary restrictions you give us to the restaurant preparing your order, but restaurants prepare food in kitchens that may handle common allergens. We cannot guarantee that any item is free of an allergen. If you have a serious allergy, confirm the details with us before your flight.

Alcohol

Alcohol is offered only where the law allows, is sold and delivered by licensed third-party retailers, and is available only to people 21 years of age or older. Valid identification may be required at delivery, and an order may be refused or cancelled where the law requires.

Text Messages

DineUp Flight Updates. If you opt in on your flight's coordinator page, DineUp will send text messages about that flight to the mobile number you give us, such as order, payment and delivery updates and links to your flight's pages. Texts are used for flight information only; we do not send marketing texts.

• Reply STOP to any message to opt out, or untick the box on your coordinator page. Reply HELP for help, or email [email protected].
• Opting in is not a condition of any purchase.
• Carriers are not liable for delayed or undelivered messages.
• Supported for US and Canadian mobile numbers.

We do not sell or share your mobile number or text-messaging opt-in with third parties or affiliates for their marketing or promotional purposes. See our Privacy Policy for how we handle your information.

Acceptable Use

You agree not to misuse the Services, including by: placing orders you do not intend to accept or pay for; giving false information; attempting to access flights, orders or links that are not yours; interfering with or overloading the Services; or using the Services for anything unlawful.

Third-Party Services

The Services rely on restaurants, delivery partners, alcohol retailers, payment processors, messaging providers and other third parties. Their products and services are provided by them and may be subject to their own terms. We are not responsible for their acts or omissions, though we will work with you to resolve any problem with your order.

Intellectual Property

The Services, including our software, content, logos and trademarks, belong to DineUp or its licensors. You may use them only to use the Services as these Terms allow.

Disclaimers

The Services are provided "as is" and "as available." To the fullest extent the law allows, DineUp disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement. Flight schedules change, and we do not guarantee delivery at a particular time if a flight's time, airport or address changes or is given incorrectly.

Limitation of Liability

To the fullest extent the law allows, DineUp will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits or revenue, arising from your use of the Services. Our total liability for any claim relating to the Services is limited to the amount you paid DineUp for the order that gave rise to the claim.

Indemnification

You agree to indemnify and hold harmless DineUp and its officers, employees and partners from claims arising out of your misuse of the Services or your breach of these Terms.

Suspension and Termination

We may suspend or end your access to the Services, or cancel an order, if you breach these Terms or if we need to in order to comply with the law or protect the Services or others.

Changes to These Terms

We may update these Terms from time to time. When we do, we will change the "Last updated" date above. Your continued use of the Services after a change means you accept the updated Terms.

Governing Law

These Terms are governed by the laws of the State of Ohio and applicable federal law of the United States, without regard to conflict-of-law rules.
